Partner Terms of Service

1. Definitions
"Partner" refers to the entity or individual accepted into the MenuLoft Partner Program. "Platform" refers to the MenuLoft service, including its API, dashboard, and public-facing menu pages. "Client" refers to a restaurant organization provisioned and managed by a Partner through the Platform.
2. Partner Account
Upon approval of a partner application, MenuLoft will create a Partner Account. The Partner is responsible for maintaining accurate account information, securing credentials (including API keys), and for all activity under their account.
3. Client Provisioning
Partners may provision Client organizations through the dashboard or API. Each Client organization operates independently with its own menus, locations, and team members. The Partner retains management access to all provisioned Client organizations.
4. Billing
- Partners pay a monthly platform fee for their own organization plus a per-client fee for each active Client organization.
- Per-client pricing decreases automatically as the number of active clients increases (volume discounts).
- Billing is processed monthly via Stripe. Partners must maintain a valid payment method on file.
- MenuLoft reserves the right to adjust pricing with 30 days written notice.
5. White-Label Usage
Partners on eligible tiers may remove MenuLoft branding, apply custom styling, and serve menus on custom domains. The Partner is responsible for any content displayed through white-label configurations and must not misrepresent the origin of the Platform.
6. API Usage
API access is governed by rate limits based on the Partner's subscription tier. Partners must not circumvent rate limits, share API keys with unauthorized parties, or use the API in ways that degrade service for other users.
7. Data Protection
7.1 Data Processing Agreement (DPA)
MenuLoft processes personal data on behalf of Partners and their Clients in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). By entering the Partner Program, both parties agree to the following data processing terms:
- MenuLoft acts as a Data Processor for restaurant menu data, analytics data, and end-user interaction data.
- The Partner (or their Client) acts as the Data Controller and determines the purposes and means of data processing.
- MenuLoft will process data only as necessary to provide the Platform services and in accordance with documented instructions from the Controller.
- Data is stored on servers within the European Union (Azure West Europe region).
- MenuLoft implements appropriate technical and organizational measures to protect personal data, including encryption in transit (TLS 1.2+) and at rest.
7.2 Sub-processors
MenuLoft uses the following sub-processors: Microsoft Azure (hosting and storage), Stripe (payment processing), and Upstash (rate limiting). The Partner will be notified of any changes to sub-processors with 30 days advance notice.
7.3 Data Subject Rights
MenuLoft will assist Partners in fulfilling data subject access requests (DSARs) and other rights under GDPR. Partners should contact partner support to initiate such requests.
8. Intellectual Property
The MenuLoft name, logo, and platform remain the intellectual property of MenuLoft. Partners are granted a non-exclusive, revocable license to use the Platform for the duration of their partner agreement. Menu content created by Partners and Clients remains their intellectual property.
9. Termination
Either party may terminate the partner relationship with 30 days written notice. Upon termination, the Partner's white-label configurations will be removed and Client organizations will revert to standard MenuLoft branding. Menu data remains accessible to Client organizations.
10. Limitation of Liability
To the maximum extent permitted by law, MenuLoft's total liability to the Partner shall not exceed the fees paid by the Partner in the 12 months preceding the claim. MenuLoft is not liable for indirect, incidental, or consequential damages.
11. Governing Law
These terms are governed by the laws of Finland. Any disputes shall be resolved in the courts of Helsinki, Finland.
12. Changes to These Terms
MenuLoft may update these terms with 30 days notice to active Partners. Continued use of the Partner Program after changes take effect constitutes acceptance of the updated terms.
